Your purchase of Triple Scoop Music's "Pro Photographer" License provides you with specific music usage rights as listed in this document.

This License Agreement ("License") is made between you (“Licensee”, “You”) and Triple Scoop Music ("TSM"," "we," "our," or "us"). By clicking or selecting to accept our license and terms of service or by downloading or using the Licensed songs (“Songs”, “Tracks”), you accept the terms of this License. If you do not agree to the terms of this License, do not download or use the Licensed Tracks.

Grant of license & Permitted Uses:
This Triple Scoop Music “Pro Photographer” license is specifically intended for use by professional photographers and provides a non-exclusive, non-transferable, single-user (1 individual person) license, lasting for the lifetime of the Licensee.
 You may use your licensed songs specifically within personal slideshows and videos created for yourself or for your clients. (Examples of personal slideshows and videos include Weddings, Engagements, Family, Children, Maternity, Boudoir, Amateur Sports, High School Seniors, Pets, family celebrations and similar non-business, non-commercial presentations).

These personal slideshows or videos may be sold or provided to your clients in digital or physical format including CD/DVD/BLU-RAY. Personal slideshows and videos may be posted on the internet, including websites, blogs and social media, including but not limited to YouTube, Facebook, Twitter, Tumblr, Google+, Vimeo.

You may also use the licensed tracks within example slideshows and videos specifically used to promote your own photography or videography work. These example slideshows and videos may be used for in-person client presentations and posted on your website(s), blogs, and on social media (including but not limited to YouTube, Facebook, Twitter, Tumblr, Google+, Vimeo). Your example slideshows and videos may also be “monetized” within your YouTube account.

You may use the licensed tracks for playback at your studio, in synchronization with your images or videos.

You may use the licensed tracks for playback and “same day edits” at live events, such as Weddings, Family celebrations, in synchronization with your images or videos.

You may use the licensed tracks as streaming background music accompanying your website or blog. This specific use is limited to 1 domain per license.

Usage Requirements:
This single-user license is for individual photographers. If you require coverage for multiple employees, multiple studio locations or any other use not covered by this agreement, please contact Triple Scoop Music for licensing coverage: music@triplescoopmusic.com)

Restrictions:
You cannot transfer, loan or resell our music to any other person or 3rd party at any time. This license is granted only to you, the individual Licensee.

This license does not allow slideshows or videos with our music to be re-sold in any type of business-to-business “B2B” context. If you are creating slideshows for a corporate client or for any 3rd party business, contact Triple Scoop Music for licensing options.

This license does not allow you to include the Track(s) in any video or slideshow made available for commercial or retail sale, or within a product made available for commercial sale.

This license does not allow you to include the Track(s) in any way on Broadcast TV, Cable or Satellite TV, Closed circuit CCTV, Subscription or streaming TV, Radio, or within any commercial film production.

You may not use the Track(s) to promote any business that sells or licenses music.

You may not use samples or edits of the Track(s) within another musical composition or add a singer/rapper to an existing instrumental track. You may, however, use the track as a background ‘bed’ under a separate voiceover (spoken, non-singing/non-rapping) performance within your slideshows and videos.

You may not use the Track(s) for pornographic slideshows or videos, or within any project that includes hate speech or any communication that includes libelous, defamatory, racist, obscene, or abusive content; You may not use the Track(s) in any manner or for any purpose that may violate any law or regulation, or right of any person.

Any music use not specifically approved in this agreement shall be considered to be outside the terms of this agreement. (If you require a license for any use not covered by this agreement, please contact Triple Scoop Music at: music@triplescoopmusic.com)

License Fee:
Licensee shall pay the License Fee in full at the time of execution of this Agreement. Licensee expressly agrees that the terms of the License granted under this Agreement shall be valid only after Licensee has made payment in full for the License Fee to Company and such payment has cleared. Any use by Licensee of this License without completing full payment of the License Fee shall constitute a material breach of this Agreement, entitling TSM all available remedies under the law.

Termination:
Without prejudice to any other rights, TSM shall have the right to terminate this Agreement immediately upon a material breach or attempted breach by Licensee of any of the terms and conditions within this license.

Intellectual Property / Copyright:
Except as expressly listed in this License, nothing contained herein shall be deemed to convey or transfer to Licensee any interest or ownership, including copyright, in any Licensed Tracks hereunder. Title and copyrights in and to the music (including, but not limited to, artists’ images, artist photographs, music, and lyrics) remain the property of their respective copyright owners.

Credits:
If credits do appear within your project, each licensed song used must be credited as: “Song Name” performed by “Artist Name,” licensed from Triple Scoop Music.

Warranties:
TSM hereby represents and warrants that: (a) TSM has the power, capacity, and authority to enter into this License; (b) TSM has all necessary rights to license the Licensed Tracks to Licensee under the terms hereof; and (c) Licensee's exercise of rights hereunder will not infringe any third party's intellectual property rights.

Indemnification:
Licensee agrees to indemnify and hold harmless TSM from and against any claim, loss, damage, cost and expense (including reasonable attorneys' fees), arising out of any third party claim arising out of a breach of this License by Licensee.

No Liability For Damages:
In no event is Triple Scoop Music, its Artists, or its partners liable for any damages whatsoever arising out of the use of or inability to use this product. In any case, Triple Scoop Music’s entire liability under any provision of this License shall be limited to the amount actually paid by you for the license.

General:
The laws of the state of California, USA, will apply to all matters or disputes relating to this license without regard to the conflicts of laws principles nor the United Nations Convention on the International Sale of Goods. You agree to submit to the exclusive personal jurisdiction and venue of the United States District Court, in Los Angeles, California USA. In any such dispute, the substantially prevailing party shall be entitled to its reasonable attorneys' fees. No modification or waiver of this License will be binding unless made in a writing signed by Licensee and one of Licensor's duly authorized representatives. No failure by Licensor to exercise a right or remedy shall be deemed a waiver of any further right or remedy.

Entire Agreement:
This Agreement contains the sole and entire understanding between TSM and Licensee. No representations, oral or otherwise, express or implied, other than those contained in this Agreement have been made. This agreement supersedes any prior agreements relating to the subject matter hereof.

Headings:
The headings herein are for convenience only and are not intended by the parties of or to affect the meaning or interpretation of this Agreement.
